Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Offairy, Inc. ("Offairy," "we," "us," or "our"), governing your access to and use of the Offairy platform, website, applications, and all related services (collectively, the "Services").

By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE OUR SERVICES. By accessing or using Offairy, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly provide services to individuals under the age of 18. If we discover that a user is under 18, we will immediately terminate their account and delete all associated data.

Offairy is a software-as-a-service (SaaS) platform designed to assist agencies and management companies in managing their operations related to OnlyFans content creators. Our platform provides tools for creator management, analytics, compliance tracking, content scheduling, and communication management. Offairy does not produce, distribute, or host any adult content. We are solely a business management tool that facilitates administrative and operational tasks.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this document, sending an email notification to registered users, or posting a notice on our platform. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

To register for an Offairy account, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Operate a legitimate agency or management business
• Provide accurate and complete registration information
• Maintain compliance with OnlyFans Terms of Service and Community Guidelines

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password for your Offairy account
• Not share your account credentials with unauthorized individuals
• Enable two-factor authentication when available
• Immediately notify Offairy of any unauthorized access or security breach
• Log out of your account when using shared or public devices
• Regularly review account activity for suspicious behavior

Offairy is not liable for any loss or damage arising from your failure to maintain account security.

To ensure platform integrity and legal compliance, Offairy may require you to complete identity and business verification procedures, including but not limited to:

• Government-issued photo identification
• Proof of business registration or incorporation
• Business address verification
• Tax identification numbers
• Banking or payment information verification
• Authorized representative verification

Failure to complete required verification may result in account suspension or termination.

Offairy provides comprehensive tools for managing content creator relationships, including:

• Creator onboarding workflows and documentation management
• Performance tracking and creator analytics dashboards
• Contract and agreement management
• Creator communication and task assignment tools
• Payout calculation and tracking
• Creator portal for self-service access

Our analytics suite provides real-time and historical insights into revenue performance, including:

• Real-time revenue dashboards and reporting
• Performance metrics and trend analysis
• Predictive revenue modeling
• Comparison benchmarks and growth tracking
• Customizable reports and data exports

Offairy offers robust compliance management features to help agencies maintain regulatory compliance:

• Age verification documentation storage and tracking
• Consent management and record-keeping
• Immutable audit logs for all platform activities
• Compliance checklists and automated reminders
• Document retention and archival systems
• 2257 compliance documentation support

Our unified messaging platform enables efficient communication management:

• Centralized inbox for managing communications

Our content planning tools help optimize posting strategies:

• Content calendar and scheduling interface
• Optimal posting time recommendations
• Content performance analytics
• Cross-platform scheduling coordination

As a user of Offairy, you acknowledge and agree that:

• You will comply with all applicable OnlyFans Terms of Service, Community Guidelines, and policies
• You will not use Offairy to facilitate any violation of OnlyFans policies
• You understand that OnlyFans is a separate platform with its own terms and conditions
• Offairy is not affiliated with, endorsed by, or partnered with OnlyFans
• Any changes to OnlyFans policies may affect your ability to use certain Offairy features

You represent and warrant that:

• You have obtained all necessary rights, licenses, and permissions to manage content on behalf of creators
• All content managed through Offairy is owned by or properly licensed to the creators you represent
• You will not upload, manage, or distribute any content that infringes on third-party intellectual property rights
• You have valid, written agreements with all creators you manage

You are solely responsible for verifying that all content creators you manage through Offairy are at least 18 years of age. You agree to:

• Collect and maintain valid government-issued identification for all creators
• Verify the authenticity of all identification documents
• Maintain accurate age verification records as required by law
• Immediately cease management of any creator discovered to be under 18
• Report any suspected violations to Offairy and appropriate authorities

You agree not to use Offairy to:

• Produce, distribute, or manage any content depicting minors in any context
• Facilitate human trafficking, exploitation, or coercion
• Manage content depicting non-consensual activities
• Distribute illegal content of any kind
• Engage in fraud, money laundering, or other financial crimes
• Violate any applicable local, state, national, or international laws
• Harass, threaten, or harm any individual
• Interfere with or disrupt Offairy's services or infrastructure
• Attempt to gain unauthorized access to any systems or data
• Use automated systems or bots without express permission
• Circumvent any security measures or access controls
• Misrepresent your identity or affiliation

Violation of these prohibitions may result in immediate account termination, legal action, and reporting to law enforcement authorities.

The relationship between agencies and content creators is that of independent contractors. By using Offairy:

• You acknowledge that Offairy does not create any employment relationship between agencies and creators
• Agencies are responsible for determining the legal nature of their relationships with creators
• Agencies must comply with all applicable labor and employment laws
• Offairy is not responsible for any disputes between agencies and creators
• Agencies must provide appropriate tax documentation to creators as required by law

Offairy facilitates commission-based revenue sharing between agencies and creators:

• Industry-standard commission rates typically range from 22% to 28% of creator earnings
• Specific commission rates are determined by agreements between agencies and creators
• Offairy does not set or mandate commission rates between parties
• All commission arrangements must be clearly disclosed and agreed upon in writing
• Agencies are responsible for ensuring commission structures comply with applicable laws

Offairy's platform subscription fees are separate from agency-creator commission arrangements.

For agencies managing creator OnlyFans accounts:

• You must obtain explicit written consent from creators before accessing their accounts
• Account access should be limited to authorized personnel only
• All account access must comply with OnlyFans Terms of Service
• Agencies must implement appropriate access controls and logging
• Creator credentials must be stored securely and never shared outside authorized channels
• Upon termination of agency-creator relationships, all access must be revoked immediately

Creators retain full ownership of all content they create. Offairy does not claim any ownership rights to content managed through our platform. Specifically:

• All intellectual property rights in creator content remain with the creator
• Agencies receive only the rights expressly granted in their agreements with creators
• Offairy does not acquire any ownership or license to creator content through platform use
• Creators maintain the right to use, distribute, and monetize their content as they see fit

All intellectual property rights in the Offairy platform, including but not limited to the following, are owned exclusively by Offairy:

• The Offairy name, logo, and branding elements
• Platform software, code, and technical infrastructure
• User interface designs and layouts
• Analytics algorithms and methodologies
• Documentation, tutorials, and educational materials
• Any improvements or modifications to the platform

License to Users: Subject to these Terms, Offairy grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

License to Offairy: By uploading data to our platform, you grant Offairy a limited license to process, store, and display such data solely as necessary to provide our Services. This license does not extend to creator content, which is subject to Section 6.1.

Feedback: If you provide feedback, suggestions, or ideas about our Services, you grant Offairy a perpetual, worldwide, royalty-free license to use and incorporate such feedback into our products and services.

Offairy offers tiered subscription plans with the following commission structures:

These fees represent Offairy's platform fee and are separate from any commission arrangements between agencies and creators.

All payments for creator services are processed directly through OnlyFans. Offairy does not:

• Process payments between fans and creators
• Hold or custody creator funds at any time
• Transfer money between agencies and creators
• Act as a payment processor or money transmitter

Offairy subscription fees are billed separately and are payable via credit card, ACH, or wire transfer.

IMPORTANT: Offairy is not a money transmitter and does not engage in money transmission activities. We do not:

• Receive, hold, or transmit consumer funds
• Issue payment instruments or stored value
• Exchange currency or virtual assets
• Provide payment settlement services

All creator payouts are handled directly by OnlyFans according to their terms and payment schedule.

Termination by You: You may terminate your Offairy account at any time by providing thirty (30) days' written notice to our support team. Upon termination:

• Your access to the platform will continue until the end of the notice period
• You remain responsible for all fees incurred through the termination date
• You should export any data you wish to retain before termination

Termination by Offairy: Offairy may terminate or suspend your account immediately, without prior notice, if:

• You violate these Terms or any applicable law
• You fail to pay subscription fees when due
• Your account is associated with fraudulent or illegal activity
• We are required to do so by law or court order
• We discontinue the Services entirely

Upon termination of your account:

• Your license to use the Services immediately terminates
• You must cease all use of the platform and Offairy intellectual property
• Offairy may delete your account data after a reasonable retention period
• Certain provisions of these Terms survive termination, including Sections 6, 9, 10, and 11
• Outstanding fees remain due and payable
• Offairy will provide data export options for a period of 30 days following termination

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Offairy disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Services
• Warranties that defects will be corrected

You acknowledge that you use the Services at your own risk and discretion.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFAIRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Services.

OFFAIRY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO OFFAIRY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above limitations may not apply to you.

Offairy integrates with or references third-party services, including OnlyFans. We are not responsible for:

• The availability, accuracy, or reliability of third-party services
• Changes to third-party terms, policies, or APIs
• Any loss resulting from third-party service disruptions
• Your compliance with third-party terms of service

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

• Arbitration shall take place in Delaware, USA, or another mutually agreed location
• The arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN OFFAIRY AND YOU INDIVIDUALLY. To the fullest extent permitted by law:

• No arbitration or proceeding shall be joined with any other
• There is no right or authority for any dispute to be arbitrated on a class-action basis
• There is no right or authority for any dispute to be brought in a purported representative capacity

Notwithstanding the above, either party may seek:

• Injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights
• Resolution of disputes in small claims court for qualifying claims

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
